Terms of Service
The terms for using SwrlSite.
The short version. SwrlSite offers a complete free website, optional website launch and managed-care services, a calls-only AI Receptionist, a broader AI Front Desk Suite, and custom business systems. Paid work begins only under written terms. Standard fixed AI implementation is paid upfront; recurring AI billing begins when the approved production system starts handling real customer interactions.
1. Acceptance
These Terms are a binding agreement between you and Swrl LLC, which operates SwrlSite. By using the website, publishing a free site, subscribing, accepting an Order Form, or otherwise using the service, you agree to these Terms, the Privacy Policy, and any accepted proposal, Order Form, statement of work, or service schedule. If you act for a business, you represent that you have authority to bind it.
2. Services and written scope
SwrlSite offers Complete Free Website, Website Launch, Website Care, Website Growth Partner, AI Receptionist for Calls Only, AI Front Desk Suite, Website + AI Growth Partner, and Custom Business Solution services. The pricing page summarizes current public prices.
A paid engagement is controlled by the accepted written scope. It states deliverables, exclusions, implementation, payment, start date, activation, recurring service, usage, additional charges, customer dependencies, third-party costs, ownership, support, acceptance criteria, and change control.
Existing customers remain governed by the name, price, payment schedule, and scope in their accepted order unless both parties agree in writing to replace it.
3. Complete Free Website
The Free Website Terms are incorporated here. Building, publishing, and hosting a complete business website at a SwrlSite subdomain costs nothing. There is no artificial one-page limit.
- Free hosting includes reasonable bandwidth and storage for a standard small-business website and limited support, without an uptime or response-time commitment.
- You must verify services, prices, hours, location, policies, claims, contact routes, and rights to submitted content.
- A clear generator mistake or broken included function differs from a preference change, new page, feature, redesign, campaign, integration, or large content-entry request.
- A domain you buy remains yours. The free product does not include a customer-controlled domain launch.
- SwrlSite may apply reasonable limits or suspend unlawful, deceptive, abusive, insecure, misleading, or resource-excessive use.
4. Website Launch, Website Care, and Website Growth
Website Launch. You create and control the domain, GitHub, Railway, billing, analytics, and other required accounts. The accepted scope may include account guidance, repository preparation, deployment, DNS, SSL, forms, lead notifications, analytics, testing, and handoff. You pay third-party charges directly unless the order says otherwise. The standard package includes 30 days of covered launch corrections, not new pages, features, redesigns, integrations, or ongoing work.
Website Care. Website Care is a monthly maintenance service for the covered website. It may include standard managed hosting, website-health monitoring, routine technical maintenance, backups and rollback support, lead-form and notification checks, standard support, and a reasonable amount of minor factual correction work. It does not include proactive conversion strategy, ongoing SEO/content work, new pages, new features, redesigns, campaigns, custom integrations, or an open-ended request queue.
Website Growth Partner. Website Growth includes the applicable managed-care foundation plus proactive conversion review, lead-flow recommendations, a reasonable monthly batch of prioritized qualifying improvements, ongoing offer/content/layout work, and up to two optional planning and review sessions. Major redesigns, applications, campaigns, and substantial integrations require separate scope.
5. AI Receptionist and AI Front Desk Suite
AI Receptionist, Calls Only. The AI Receptionist handles the approved inbound call workflow. It may answer approved questions, collect caller details, qualify, schedule, route, transfer, take messages, create summaries, and maintain basic tenant-scoped lead and interaction records. It does not include SMS/MMS, inbound email, website chat, or forms.
AI Front Desk Suite. The Suite includes calls and SMS/MMS as its core. Inbound email, website chat, forms, calendar, CRM workflows, and other integrations are included only when expressly identified in the accepted order and then implemented, tested, approved, and activated.
Automatic low- and medium-priority responses are limited to the written allowlist, current trusted knowledge, identity and consent requirements, and approved actions. High-priority substantive cases default to a saved intake, owner/team alert, and draft for human review. Urgent cases use approved safe-routing language and alerting without diagnosis or a guaranteed response.
Only channels and capabilities expressly included in the accepted order are part of the service. An unfinished adapter, unavailable integration, unapproved sender, pending carrier registration, or untested channel is not live.
6. Implementation, payment, acceptance, and activation
For a standard fixed-scope AI Receptionist or AI Front Desk Suite implementation, the full one-time implementation fee is due before the scheduled Implementation Start Date. Work begins only after written acceptance, cleared payment, complete required onboarding, and required access.
No recurring AI subscription is charged during implementation. The first recurring payment is due on the Production Activation Date, when the approved system begins handling real customer interactions. Larger custom, uncertain, multi-location, migration, custom-API, or long-timeline work may use a different written milestone schedule.
A system is Ready for Launch when the written acceptance criteria pass. Ready for Launch does not itself start recurring billing unless the accepted order expressly defines that event as production activation.
Client delays pause and move the schedule. Provider registration, verification, number porting, DNS, third-party review, or unavailable access may require staged activation or a longer timeline. If a launch-ready system is materially delayed, disclosed provider charges may continue and real revalidation work may be separately quoted.
Implementation payments become non-refundable after work begins except as required by law or to the extent SwrlSite is unable through its own fault to deliver the accepted scope, less the reasonable value of completed work and committed third-party costs.
7. Included usage, additional usage, and providers
Standard monthly AI usage is included. The accepted order defines the included calls or minutes, message segments, processed emails, web conversations, numbers, channels, workflows, users, storage, provider charges, exclusions, and continuous additional-usage rates.
Where additional usage is enabled, charges are based on the disclosed unit after the included allowance. The order may offer a higher-volume allowance or a customer-selected spending cap or safe fallback. SwrlSite will not intentionally end an active call solely because the monthly allowance was reached or silently discard an inbound inquiry when a configured safe fallback is available.
Telephony, carrier registration, messaging, email, AI, hosting, storage, calendar, payment, and integration providers have their own prices, limits, verification, outages, filtering, and terms. SwrlSite does not guarantee a specific number, port date, message delivery, inbox receipt, or uninterrupted third-party service.
8. Customer responsibilities
You will provide accurate services, prices, hours, policies, availability, notices, consent language, opt-in information, recording/transcription decisions, escalation contacts, data restrictions, provider information, credentials, approvals, and timely consolidated feedback.
You are responsible for the legality and business suitability of your customer-facing rules, communications, offers, products, services, fulfillment, professional obligations, and required notices. You will not submit payment-card data, health information, government identifiers, passwords, or other regulated or highly sensitive data unless the accepted workflow expressly supports it.
You will maintain secure access and current billing for customer-controlled providers and notify SwrlSite when business information or policies change.
9. Ownership, managed infrastructure, and portability
You retain your domain, business identity, original content, supplied assets, customer and lead data, customer-controlled accounts, and other rights stated in the accepted order. You grant SwrlSite a limited license to process, host, adapt, and transmit those materials to provide the service.
SwrlSite retains its platform, generator, reusable code, prompts, workflows, orchestration, templates, generalized integrations, monitoring, internal tools, and know-how.
AI services may use SwrlSite-managed dedicated client infrastructure. The accepted order states provider custody, billing, legal registration identity, usage, portability, export, retention, and offboarding. Unrelated clients do not share one tenant or dedicated SignalWire Project.
Subject to payment of undisputed balances and provider rules, standard offboarding does not impose a professional-service fee merely to release a portable primary business number or provide the standard customer-data export. Actual provider transfer, port-out, usage, and destination-provider charges remain your responsibility.
10. Subscriptions, renewal, and cancellation
Payments may be collected through Stripe checkout, subscriptions, or invoices and are billed by Swrl LLC. Recurring plans renew automatically at the disclosed interval until cancelled.
Before payment, the checkout or accepted order shows the price, frequency, renewal, cancellation method, usage, and material provider charges. By completing a recurring checkout, you affirmatively accept these Terms and authorize Swrl LLC to charge the disclosed amount at the start of each billing period until cancellation.
You may cancel the same easy way you signed up, through the Stripe customer portal when available or by emailing contact@swrlsite.com. Cancellation normally stops future renewal and takes effect at the end of the current paid period. Current-period fees are non-refundable except where law or the accepted order requires otherwise. We notify you in advance by email before a price increase applies.
Failed payments may be retried. Service may be limited, paused, or cancelled when payment remains overdue.
11. AI limitations, warranties, and liability
AI and automated systems can mishear, misunderstand, omit, delay, or state incorrect information. They are not emergency, medical, legal, financial, life-safety, or guaranteed-availability services. You remain responsible for business decisions, fulfillment, customer care, prices, consent, communications, disclosures, and monitoring.
Paid professional services will be performed in a professional and workmanlike manner. The primary remedy for a promptly reported covered defect is re-performance or correction. Except for express written warranties, services are provided "as is" and "as available" to the maximum extent permitted by law.
SwrlSite does not guarantee revenue, leads, bookings, savings, rankings, response time, message delivery, customer satisfaction, perfect AI output, or uninterrupted provider availability.
To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, exemplary, punitive, or consequential damages, or lost profits, revenue, goodwill, or data. Unless an accepted agreement states otherwise, SwrlSite's aggregate liability for a claim involving a paid subscription will not exceed the fees paid or payable for the affected service during the 12 months before the event. Liability for an affected one-time engagement will not exceed the amount paid or payable for that engagement, and liability arising from a free service will not exceed $100. Limits do not apply where liability cannot legally be limited.
The service depends on third-party hosting, payments, telephony, domains, email, calendars, analytics, maps, listings, source control, and AI providers. Those services may fail, change, suspend access, increase prices, or discontinue features.
Features that display or use Google Maps or Google Places data are also subject to the Google Maps/Google Earth Additional Terms of Service, which are incorporated here by reference.
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, NON-INFRINGEMENT, OR UNINTERRUPTED OPERATION. WE DO NOT GUARANTEE REVENUE, SAVINGS, RANKINGS, LEADS, TRAFFIC, CONVERSIONS, BOOKINGS, REVIEWS, OR ANY OTHER BUSINESS RESULT.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, Swrl LLC AND ITS OWNERS ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, LOST PROFITS, LOST DATA, OR LOST OPPORTUNITIES. Liability for free services is capped at US$100. Liability for a paid subscription is capped at the amount paid for that subscription during the prior 12 months. Liability for one-time work is capped at the amount paid for that engagement.
You agree to indemnify Swrl LLC and its owners against claims arising from your misuse, unlawful communications, unauthorized materials, business claims, products, services, fulfillment, or infringement of third-party rights.
12. Suspension, termination, and offboarding
SwrlSite may suspend or terminate service for unlawful, deceptive, abusive, insecure, non-payment, provider-rule, or materially harmful use. Notice will be provided when reasonably practical.
Standard offboarding may include stopping future renewal, one standard CRM/customer-data export, primary-number transfer or release assistance, included client-asset handoff, credential removal or rotation, one handoff session, continuing-provider-cost notice, and a retention/deletion schedule.
Replatforming, custom data transformation, extensive recording or attachment migration, replacement-vendor training, expedited work, or work beyond the standard transition window is separately quoted as Transition Assistance.
13. Communications
You agree to receive transactional email, call, or text communications related to requests, appointments, documents, billing, security, and service. Marketing messages use the disclosed consent and unsubscribe method.
SwrlSite conversational text messaging program. You opt in by texting our business number first or by clearly asking or agreeing to receive information by text during a call or form submission. Message frequency varies. Message and data rates may apply. Reply HELP for help and STOP to cancel; after STOP you may receive one confirmation. Carriers are not liable for delayed or undelivered messages. We do not share mobile numbers or text message consent with third parties for their marketing. Opting out of optional texting does not cancel the underlying service or prevent required notices through another channel.
14. Dispute resolution, arbitration, class action waiver, and governing law
Informal resolution first. Before a formal proceeding, both parties will try for at least 30 days to resolve the dispute after written notice to contact@swrlsite.com.
Binding individual arbitration. Unresolved disputes will be resolved by final and binding individual arbitration administered by a recognized provider such as the American Arbitration Association, except for qualifying small claims matters and actions protecting intellectual property or confidential information.
Class action waiver. Claims may be brought only individually, not as a class, collective, consolidated, representative, private attorney general, or similar proceeding.
Opt out. You may opt out of arbitration and the class action waiver within 30 days of first accepting these Terms by emailing contact@swrlsite.com with your name and a clear opt out statement.
These Terms are governed by the laws of Tennessee, United States. Courts in that state have jurisdiction over matters not subject to arbitration.
15. Changes and contact
We may update these Terms prospectively. Material subscription changes will be communicated before they take effect. Changes do not silently rewrite an already accepted Order Form.
Requesting a consultation or proposal is free and carries no obligation. Payment is due only after you have approved the proposal or other applicable written agreement. If included in that agreement, Build Completion Assurance applies only as written there.
